Terms of Use
1. Acceptance of these Terms
1.1 These Terms of Use (the "Terms") govern your access to and use of carprixapp.com, its subdomains and the pages, forms and payment flows linked from it (the "Site"), and your application for a Carprix membership. By accessing the Site you agree to these Terms. By submitting an application, ticking the acceptance box at Checkout or paying through the Site, you accept these Terms, the Refund and Cancellation Policy and the Privacy Policy, and you agree to sign the Vehicle Subscription Agreement (the "Agreement") described in Section 4. The version of these Terms in force when you apply is recorded with your application, together with the date, time, IP address and browser identifier of your acceptance.
1.2 The membership itself is governed by the Agreement, its Disclosure Schedule and Vehicle Schedule, the Insurance and Driver Requirements and the Refund and Cancellation Policy (together with these Terms and the Privacy Policy, the "Subscription Documents"). In case of conflict, the Agreement prevails over these Terms; the order of precedence is set out in the Agreement.
1.3 Capitalized terms not defined here have the meanings given in the Agreement.
2. Who we are
Carprix, LLC ("Carprix", "we") is a Florida limited liability company with its principal office at 251 Valencia Avenue, #143167, Coral Gables, FL 33134, United States, Coral Gables, Florida, USA. Carprix operates a subscription platform through which it arranges and administers the use of vehicles supplied by third-party vehicle owners ("Vehicle Owners") in the country where each vehicle is registered (the "Vehicle Jurisdiction"). Vehicles are sourced globally; the Vehicle Jurisdiction and the handover location depend on availability and demand and are confirmed in the Vehicle Schedule when the Agreement is signed. Carprix does not own the vehicles and does not operate vehicles in the United States. Carprix is a platform: it is never the owner, registered keeper, lessor, operator, importer or driver of any vehicle. Contact: concierge@carprixapp.com.
3. Eligibility
3.1 The Site is intended for adults. To apply for a membership you must be at least twenty-one (21) years old, have full legal capacity, hold a driving licence valid in the Vehicle Jurisdiction that you have held for at least two (2) years, and satisfy the Insurance and Driver Requirements. Drivers under twenty-five (25) are accepted on the additional conditions set out in the Agreement and the Insurance and Driver Requirements: a physical-damage deductible of at most USD 5,000 (or the insurer's minimum accepted by Carprix), the insurer's written confirmation that the insured value is not lower than the Kelley Blue Book (Florida) reference value, and an Additional Security Deposit equal to that deductible, paid before delivery and refunded, less any amounts due, within ten (10) business days after the vehicle is returned — while Guardian Monitoring (Section 9.2) is included at no charge for Subscribers under twenty-five (25). A business may apply through a duly authorized representative and must designate at least one qualifying driver.
3.2 Every membership requires a Co-Responsible Party (referred to on the Site as the "co-signer"): an adult aged at least twenty-five (25) who signs the Agreement with the Subscriber and is jointly and severally liable with the Subscriber for every obligation under it — typically a parent or another person with the financial capacity to answer for the vehicle. The Co-Responsible Party must also complete identity verification.
3.3 Carprix does not accept applications from persons subject to sanctions administered by the U.S. Department of the Treasury or located in countries subject to comprehensive U.S. sanctions, and may decline any application for any lawful reason.
4. The membership
4.1 A Carprix membership gives the Subscriber the possession and use of one vehicle of the chosen Tier (ALFA, BRAVO or DELTA) in the Vehicle Jurisdiction for successive Quarterly Periods, under the Agreement signed by the Subscriber and the Co-Responsible Party and accepted by Carprix.
4.2 How it works. You choose a Tier and submit your application (Subscriber and Co-Responsible Party details). You pay the first Quarterly Fee at Checkout. The Agreement is then sent for electronic signature with identity verification — first to you, then to your Co-Responsible Party — and you provide the documents requested for compliance checks. Carprix reviews the application and may accept or decline it. Once accepted, and once proof of insurance has been delivered, the vehicle is scheduled for handover at the Handover Meeting Point stated in the Vehicle Schedule, targeted within thirty (30) days after acceptance. The nine-month Minimum Term starts on the Delivery Date.
4.3 Vehicles and Meeting Points. The vehicles shown on the Site are representative of each Tier. The specific vehicle, model year, specification and Kelley Blue Book reference model are confirmed before signature and recorded in the Vehicle Schedule and the Handover Report. Vehicles are sourced globally; the Vehicle Jurisdiction, the Handover Meeting Point (where you receive the vehicle) and the Return Meeting Point (where you return it) depend on availability and demand and are disclosed in the Vehicle Schedule before you sign. Carprix may change a Meeting Point within the Vehicle Jurisdiction on at least seven (7) days' notice. Each party travels to the Meeting Points at its own cost; travel is never reimbursed. Carprix may substitute an equivalent vehicle of the same Tier before or during the Term. Availability is not guaranteed until Carprix accepts the Agreement.
4.4 Vehicle Owners. Vehicles are supplied by Vehicle Owners under separate agreements with Carprix. Your contract is with Carprix only. You have no contractual relationship with the Vehicle Owner and must not contact or deal with the Vehicle Owner other than through Carprix.
4.5 Carprix's right to decline or terminate. Carprix may decline an application after payment and before acceptance of the Agreement, in its sole discretion, with a full refund of the Initial Payment. Carprix may also terminate an accepted Agreement at any time as provided in the Agreement.
5. Fees, billing and automatic renewal
5.1 Clear and conspicuous disclosure. Membership fees are charged quarterly, in advance, in USD: ALFA USD 12,000; BRAVO USD 18,000; DELTA USD 24,000 per Quarterly Period, exclusive of taxes. The membership has a Minimum Term of three Quarterly Periods (nine months) counted from the Delivery Date — a total of three Quarterly Fees. After the Minimum Term the membership renews automatically for further Quarterly Periods at the then-current fee until you give notice of non-renewal under the Refund and Cancellation Policy. Carprix e-mails a reminder at least seven (7) days before each renewal charge.
5.2 The first Quarterly Fee is paid at Checkout and is held as a Reservation Deposit until delivery. The second and third Quarterly Fees are charged three and six months after the Delivery Date, and renewal fees at the start of each renewal Quarterly Period, to the payment method you register.
5.3 All amounts are stated, charged and refunded in USD only; no amount is converted into or determined by reference to another currency. Fees exclude taxes, duties and governmental charges, which are added where Carprix is required to collect them or are borne by you where they arise in the Vehicle Jurisdiction. Exchange-rate differences and bank or card fees charged by your issuer or bank are yours.
5.4 Other charges that may arise under the Agreement — Carprix's Intervention Fee of USD 100 per hour plus costs, excess mileage, fines and tolls, damage beyond fair wear and tear, total loss and diminution in value measured by the Kelley Blue Book (Florida) value in USD of the vehicle or, if it is not listed, of the Kelley Blue Book reference model named in the Vehicle Schedule, late return and late payment — are described in the Agreement and its Disclosure Schedule, which you review before signing.
5.5 Fee changes for renewal Quarterly Periods are notified at least thirty (30) days in advance; you may avoid a change by giving notice of non-renewal before it takes effect.
6. Refund and Cancellation Policy (summary)
6.1 No refunds after delivery. Quarterly Fees are non-refundable once the vehicle has been delivered, except for the pro-rata refund due if Carprix terminates for its own convenience.
6.2 Before delivery. Full refund if Carprix declines your application or cannot deliver within sixty (60) days after accepting the Agreement. If the application fails for reasons attributable to you or your Co-Responsible Party (signatures, identity verification, documents or insurance not completed in time; handover at the Handover Meeting Point not attended), Carprix retains one-third of the Initial Payment and refunds the rest.
6.3 Stopping renewal. You may give notice of non-renewal at any time at carprixapp.com/billing/manage.html or by e-mail to concierge@carprixapp.com. It takes effect at the end of the Minimum Term or of the Quarterly Period already paid (whichever is later), provided it is received at least seven (7) days before that date.
6.4 Ending early. During the Minimum Term you may end the membership only by paying the Remaining Commitment Balance (all unpaid Quarterly Fees for the Minimum Term) and returning the vehicle in Return Condition.
6.5 The full Refund and Cancellation Policy is published at carprixapp.com/refund-policy/ and forms part of these Terms.
7. Payments
7.1 Payments are processed by Stripe, Inc. on behalf of Carprix. Cards and U.S. bank accounts (ACH) are accepted at Checkout; bank debits can take up to four (4) business days to clear, and delivery is not scheduled until funds have cleared. Carprix does not store card or bank account numbers.
7.2 By paying at Checkout you authorize Carprix and its processor to charge the payment method you register for each Quarterly Fee and, as provided in the Agreement, for other amounts due under it, including by recurring and non-recurring electronic debits where the method is a bank account. Your card issuer may require additional authentication for the first payment.
7.3 Receipts are e-mailed after each charge and are available in the billing portal at carprixapp.com/billing/manage.html, where you can also update your payment method and contact details. Businesses may add a tax identification number at Checkout for invoicing.
7.4 Billing questions and disputes. Raise any question about a charge with billing@carprixapp.com within thirty (30) days; Carprix responds within ten (10) business days and refunds any amount charged in error. You agree to address refund, cancellation and billing matters to Carprix first and not to initiate a chargeback or payment dispute with your issuer or bank in respect of a charge made in accordance with the Agreement; unresolved matters are decided by the courts identified in Section 14. This does not remove any right that cannot be excluded under applicable law or payment-network rules.
8. Vehicle use, insurance and responsibilities
8.1 The rules governing the vehicle are in the Agreement and the Insurance and Driver Requirements. In summary: only Authorized Drivers aged twenty-one (21) or over with a qualifying licence may drive (drivers under twenty-five (25): Section 3.1); the vehicle stays within the Vehicle Jurisdiction; commercial, competitive and unlawful uses are prohibited; a mileage allowance applies; and the vehicle is received and returned at the Meeting Points disclosed at signing, each party travelling at its own cost.
8.2 Insurance is entirely the Subscriber's responsibility and cost. Carprix provides no insurance. Proof of third-party liability and comprehensive coverage meeting the Insurance and Driver Requirements must be delivered before the vehicle is released.
8.3 The Subscriber and the Co-Responsible Party are jointly and severally liable for the vehicle's condition, for lawful driving, and for every fine, toll, damage, loss and other consequence of its use, wherever the vehicle is driven and whoever drives it. Vehicles may be fitted with GPS and telematics equipment (Section 9).
8.4 Strict compliance by each party. Each party to a Carprix contract is strictly responsible for the legal obligations attached to its own role. The Subscriber and the Co-Responsible Party are responsible, at their own cost, for the validity and recognition of every driver's licence, compliance with the traffic and customs laws of every place where the vehicle is driven, tolls and fines, the insurance required by the Insurance and Driver Requirements, permits for any authorized cross-border use, and taxes on the use of the vehicle. Vehicle Owners are responsible, under their agreements with Carprix, for title, registration, roadworthiness, owner-side insurance, export, import or temporary-admission permits and owner-side taxes. Carprix is a platform and is never the owner, operator, lessor, importer or driver of any vehicle; it does not verify local requirements on your behalf, and you indemnify Carprix against the consequences of your non-compliance as provided in the Agreement.
9. Vehicle location, telematics and Guardian Monitoring
9.1 Vehicles may be equipped — before delivery or during the membership — with GPS and telematics equipment that records the vehicle's location, speed, trips, mileage, driving events and diagnostic data and, where lawful in the Vehicle Jurisdiction, allows remote immobilization. Carprix and the Vehicle Owner use this data to protect and recover the vehicle, verify that it stays within the Vehicle Jurisdiction and is used as agreed, measure mileage, handle fines, tolls, incidents and insurance claims, and enforce the Agreement. The Subscriber and the Co-Responsible Party consent to this when they sign the Agreement; it cannot be switched off while the vehicle is in their possession; the Subscriber must inform every driver and passenger; and removing, disabling or interfering with the equipment is a material breach of the Agreement.
9.2 Guardian Monitoring (optional). At the Subscriber's request — made at signature or later — Carprix can give the Co-Responsible Party access to the vehicle's location, speed and usage data and to event alerts (for example speeding, night-time use or leaving the Vehicle Jurisdiction). Guardian Monitoring is never a condition of membership, is informational only, makes neither Carprix nor the Co-Responsible Party a supervisor of the vehicle or its drivers, and is changed or withdrawn only as the Agreement provides. Any Guardian Monitoring Fee is stated in the Vehicle Schedule before you sign. Details: Article 19 of the Agreement and Section 8 of the Privacy Policy.
10. Electronic signatures and communications
The Agreement and the related documents are signed electronically through DocuSign with identity verification, in accordance with the Electronic Signature and Communications Consent that you accept during the process. Carprix communicates with you by e-mail at the address you use for signature: notices, renewal reminders, receipts, invoices and payment links are sent there and are effective when sent. You must keep that e-mail address current. You may request a paper copy of any document at concierge@carprixapp.com.
11. Intellectual property
The Site, its design, text, images, code and data, the CARPRIX name and logo and the tagline "choose. sign. drive." are owned by Carprix or its licensors and protected by copyright, trademark and other laws. You may view and print pages of the Site for your personal, non-commercial use in considering or managing a membership. Any other use — including copying, scraping, framing, reverse engineering or use of Carprix's marks — requires Carprix's prior written consent. Vehicle manufacturers' names and marks are used only to identify the vehicles offered and belong to their respective owners; Carprix is not affiliated with any manufacturer.
12. Disclaimers
The Site is provided "as is" and "as available". Carprix does not warrant that the Site will be uninterrupted or error-free. Information on the Site about vehicles, availability, delivery and pricing is indicative until confirmed in the Agreement and the Vehicle Schedule; vehicles shown are representative. Nothing on the Site constitutes insurance, financial, tax or legal advice. To the fullest extent permitted by law, Carprix disclaims all warranties, express or implied, regarding the Site.
13. Limitation of liability
To the fullest extent permitted by law, Carprix and its members, officers, employees and agents are not liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of data, profit or opportunity, arising out of your use of or inability to use the Site, and Carprix's total liability arising out of these Terms is limited to USD 100. Liability arising out of a membership is governed by the Agreement. Nothing in these Terms excludes liability that cannot be excluded by applicable law. You agree to indemnify Carprix against claims arising from your misuse of the Site or breach of these Terms.
14. Governing law and jurisdiction
14.1 These Terms and any dispute arising out of them or the Site are governed by the laws of the State of Florida, United States of America, without regard to conflict-of-laws rules.
14.2 The state courts of Florida sitting in Miami-Dade County — including the Miami-Dade County Court at the Coral Gables Branch Court for matters within its jurisdiction — and the United States District Court for the Southern District of Florida have exclusive jurisdiction. You submit to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum. Each party waives trial by jury, and claims must be brought individually and not in any class or representative proceeding.
14.3 Nothing in this Section deprives you of the protection of any mandatory provision of the law of your country of habitual residence. These Terms are made in English; translations are for convenience only.
15. Changes to these Terms
Carprix may update these Terms by publishing a new version on the Site with a new version number and effective date; material changes are notified by e-mail to members at least thirty (30) days in advance. The version you accepted when you applied continues to govern your application and is recorded with it. Continued use of the Site after the effective date of a change constitutes acceptance of the updated Terms for that use.
